Basic Terms

These terms and conditions are between Premier Prospects Ltd. and the employer/Client (thereinafter called the Client) and are deemed to be accepted by the client by virtue of an interview or by the engagement of a candidate, howsoever introduced by Premier Prospects Ltd. , within a period of 12 months from the date of introduction

a) Contingency Executive Search

Fees are agreed at the outset of assignments and shall be calculated at the rate of 25% of the first year's guaranteed total remuneration package and invoiced on the client's receipt, in writing, of the candidate's acceptance of offer and agreed start date.

No fee is payable if the candidate is not employed.

b) Retained Executive Search

Fees are agreed at the outset of the assignment and shall be calculated at the rate of 25% of the first year's guaranteed total remuneration package and invoiced on a work done basis in 3 equal parts at the end of each stage of the Search process.

  1. (i) One third as a retainer upon acceptance of the assignment
  2. (ii) One third upon presentation of an acceptable short list
  3. (iii) The balance on the client's receipt, in writing, of the candidate's acceptance of offer.

(c) Advertised and Executive Search

Fees are agreed at the outset of the assignment and shall be calculated at the rate of 25% of the first year's guaranteed total remuneration package and invoiced on the client's receipt in writing of the candidate's acceptance of offer and agreed start date. All advertising, art work and media costs will be charged to the Client. No additional fee is payable to Premier Prospects Ltd. if the candidate is not employed.

(d) Candidate Introduction Fee

Fees are agreed at the outset of the assignment and shall be calculated at the rate of 25% of the first year's guaranteed total remuneration package. Payment is strictly on a contingency "no placement no fee" basis and invoiced on the candidate's acceptance of the offer and agreed start date.

(e) Guarantee

In the event of a candidate introduced to the client leaving of his or her own will, his or her first three months of employment, Premier Prospects Ltd. will find another suitable candidate free of charge. This does not include candidates who are made redundant or leave for any other reason.

Expenses

Any expenses incurred in connection with an assignment or an introduction, such as candidate's or consultant's essential travel, are agreed at outset or only following prior notification.

Exclusivity

Exclusivity is agreed in connection with any retained assignment and the following shall apply:

(a) The Client shall not use any other agency, consultancy, third party or other service connected with presenting suitable candidates in respect of the requirement. All enquiries should be directed through Premier Prospects Ltd.

(b) The Client shall redirect all Curriculum Vitae or written or verbal or direct or indirect applications through Premier Prospects Ltd. in order that they may be screened in the same way.

(c) Any placements arising as a result of a third party or direct application or introduction or either shall be treated as if it were an introduction through Premier Prospects Ltd. and on the successful candidate's written acceptance of offer, a fee according to Premier Prospect's standard terms of business shall be due.

Conditions

(a) In accepting these terms the client agrees to notify Premier Prospects Ltd. immediately of any offer which will be made to a candidate. Any offers must be presented to the candidate by Premier Prospects Ltd. only. All copies of letters of offer to any candidate introduced to the client by Premier Prospects Ltd. must be supplied.

(b) To avoid doubt the following words are defined as stated:

Engagement - employment or use, whether under a contract of service or for services, or where a candidate is retained by the Client in a personal or corporate capacity as agent or distributor.

Introduction - identification or presentation of a candidate by Premier Prospects Ltd. to the Client for 'engagement' (as defined above), whether or not the Client knew of such candidate previously or the candidate was known prior to introduction by the client.

Candidate - presentation of an individual who has the background, skills, aptitude or desire for any given tasks.

Remuneration - all gross taxable pay including all emoluments that form the gross taxable pay (eg shift allowance, guarantee, bonus, location weighting, on-call allowance and any form of retainer). In the event of a guarantee or retainer being for a period of less than 12 months, the fees shall be calculated on a pro-rata basis.

(c) All accounts and charges are payable within 14 days of receipt of invoice.

(d) VAT is payable on all fees and charged at the prevailing rate.

(e) If the Client, a member of the Client's staff or an employee of the Client's associated companies refers a candidate introduced by Premier Prospects Ltd. to a third party and that candidate is engaged by the third party within a 12 month period of introduction, the Client is fully responsible and liable for full payment of any fees due.

(f) The Client is responsible for taking up references as to the candidate's qualifications, capabilities, integrity, medical history and suitability to meet the job specification. It is also the Client's responsibility to obtain a work permit for the candidate wherever necessary.

(g) Premier Prospects Ltd. can accept no liability whatsoever on behalf of clients, their servants or agents for the loss, damage, costs or expenses howsoever caused which the Client may suffer, or for which the Client may become liable arising out of or in connection with or as a result of introduction to the Client or the engagement by the Client of a candidate.

(h) These terms cover all positions within all functions agreed between Premier Prospects Ltd. and the Client for a period of 12 months commencing from the date indicated below.

No variation can be made to these Terms without the written consent of a Director of Premier Prospects Ltd. These Terms supersede any other previous Terms of Business or any other agreed Terms.
